Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Partner,” or “Affiliate”) and Cigar Imports USA (“Company,” “we,” “us,” or “our”), located at 11075 Harry Hines Blvd, Suite 140, Dallas, TX 75229, governing your access to and use of www.cigarimportsusa.com and our wholesale partner portal (collectively, the “Services”).

By registering an account, placing an order, or otherwise using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use our Services.

Eligibility

Our Services are available exclusively to:

• Legally registered businesses operating in the United States.
• Authorized representatives who are at least 21 years of age.
• Businesses holding all required state and local licenses to purchase and resell tobacco products.

By using our Services, you represent and warrant that you meet these eligibility requirements.

Account Registration & Security

To access the partner portal, you must create an account and provide accurate, complete business information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us immediately at admin@cigarimportsusa.com if you suspect unauthorized access.

Wholesale Orders & Pricing

• All orders are subject to product availability and acceptance by Cigar Imports USA.
• Prices are subject to change without notice. The price at the time of confirmed order placement applies.
• Minimum order quantities (MOQ) apply and are specified in the partner portal.
• We reserve the right to cancel or modify orders due to pricing errors, availability, or suspected misuse.

Payment Terms

Payment is due as specified at checkout or in your agreed partner terms. Accepted payment methods include credit/debit card, ACH transfer, and wire transfer where applicable. Invoices are generated via QuickBooks Online and sent to the email on file. Delinquent accounts may be suspended or terminated.

Shipping & Delivery

Orders ship from our Dallas, TX warehouse. Shipping times are estimates and not guaranteed. Risk of loss and title for products pass to you upon delivery to the carrier. We are not liable for delays caused by the carrier, customs, or events outside our control.

Returns & Refunds

Due to the nature of tobacco products and regulatory requirements, all sales are final unless the product is damaged or defective upon arrival. Claims for damaged goods must be submitted within 5 business days of delivery with photographic evidence. Contact us at admin@cigarimportsusa.com to initiate a claim.

Affiliate & Partner Program

Participants in our affiliate or partner program earn commissions on referred or facilitated sales as described in the program terms provided at registration. Commission rates, payout schedules, and eligibility criteria are set by Cigar Imports USA and may be updated at our discretion with notice to active participants.

Prohibited Uses

You agree not to:

• Resell or distribute products in jurisdictions where tobacco sales are prohibited or require licenses you do not hold.
• Use our Services for any unlawful purpose or in violation of applicable tobacco regulations.
• Share account credentials with unauthorized parties.
• Attempt to reverse-engineer, scrape, or disrupt our platform or systems.
• Misrepresent your business identity or licensing status.

Intellectual Property

All content on our website and portal — including logos, product images, text, and software — is the property of Cigar Imports USA or its licensors and is protected by copyright and trademark law. You may not reproduce, distribute, or create derivative works without our express written permission.

Disclaimer of Warranties

Our Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will be uninterrupted or error-free.

Limitation of Liability

To the fullest extent permitted by law, Cigar Imports USA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services. Our total liability to you for any claim shall not exceed the amount paid by you for the specific order giving rise to the claim in the thirty (30) days preceding the claim.

Indemnification

You agree to indemnify and hold harmless Cigar Imports USA, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our Services, your violation of these Terms, or your violation of any applicable law or regulation.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Dallas County, Texas. You consent to personal jurisdiction in those courts.

Modifications to Terms

We reserve the right to update these Terms at any time. We will notify active users of material changes via email or a notice on our portal. Continued use of our Services after the effective date of changes constitutes acceptance of the revised Terms.

Termination

We may suspend or terminate your account at our sole discretion for violation of these Terms, non-payment, or any conduct we determine to be harmful to our business or other users. You may terminate your account by contacting us in writing. Termination does not relieve you of any outstanding payment obligations.
